Terms of Trade

Definitions

In these terms:

  • "Client" means any person or entity engaging Shower Installs Ltd for services.
  • "Shower Installs Ltd" means [Your Company Legal Structure, e.g., Limited Company] trading as Shower Installs Ltd.
  • "Services" means the shower installation services provided by Shower Installs Ltd, including but not limited to removal of existing showers, shower area preparation, new shower installation, tiling (where applicable), plumbing connections, and sealing.
  • "Price" means the total cost of the Services, encompassing labour, materials, and any other applicable charges.
  • "Goods" means any shower units, fixtures, fittings, or other materials supplied by Shower Installs Ltd to the Client.

Acceptance of Terms

By engaging Shower Installs Ltd for Services, the Client agrees to be bound by these

Terms of Trade. These terms are available at www.showerinstalls.co.nz and will be

provided with any quote.

Quotes and Estimates

  • Quotes are valid for three (3) months from the date of issue, unless otherwise specified in writing. After this period, the quote may be subject to review and adjustment.
  • Quotes are based on information provided by the Client and, where deemed necessary by Shower Installs Ltd, a site visit. Any variations to the scope of work, including unforeseen issues discovered during demolition or installation, may require a revised quote.
  • Estimates provide an approximate cost guide and are subject to change upon work completion. Significant price variations will be communicated to the Client before proceeding.

Payment

  • Payment is due 14 days following the invoice date, unless otherwise agreed in writing.
  • A deposit may be required upon quote acceptance. A 50% deposit may be requested on larger jobs, or any amount agreed upon between Shower Installs Ltd and the Client.
  • Accepted payment methods include [List Payment Methods, e.g., cash, cheque, bank transfer, credit card].
  • Overdue payments may incur a 15% interest charge per month on the outstanding balance. Shower Installs Ltd may also recover any debt collection costs.
  • Shower Installs Ltd reserves the right to suspend or terminate Services due to non-payment.
  • For larger projects, progress payments may be required as agreed with the Client.

Ownership of Goods

Goods supplied by Shower Installs Ltd remain the property of Shower Installs Ltd until full payment is received for both the Goods and associated Services.


Shower Installs Ltd reserves the right to retrieve unpaid Goods. The Client grants Shower Installs Ltd irrevocable leave and license to enter the Client's property to retrieve the Goods.

Service Provision

  • Shower Installs Ltd will endeavour to provide the Services in a professional and timely manner, providing an estimated project timeframe.
  • The Client is responsible for providing property access and a safe working environment for installers, including clear access to the shower area and surrounds.
  • Shower Installs Ltd is not liable for damage caused by pre-existing conditions or faults in the Client's plumbing, walls, or flooring. However, any potential issues discovered will be communicated to the Client.
  • Any necessary repairs or work beyond the original quote, including but not limited to the discovery of asbestos, mould, rot, or structural issues during demolition, will be communicated to the Client, with the associated costs added to the final invoice.
  • Shower Installs Ltd is not liable for issues or defects resulting from work performed by builders or plumbers if the shower tray and walls are not correctly prepared prior to our installation. Improper preparation can lead to an inadequate installation and subsequent leaks, for which Shower Installs Ltd will not be held responsible.

Materials

  • Unless otherwise agreed, Shower Installs Ltd will supply all necessary materials. The Client may supply their own fixtures and fittings, but these must be compatible with installation requirements and will be inspected by Shower Installs Ltd prior to installation. Shower Installs Ltd reserves the right to refuse installation of unsuitable client-supplied goods.
  • The Client is responsible for the cost of materials supplied by Shower Installs Ltd.
  • Quality materials are used, and those supplied by Shower Installs Ltd are covered by the manufacturer's warranty. Warranty information will be provided to the Client.


Tiling (where applicable):

  • If tiling is included in the Services, the Client is responsible for selecting and providing the tiles, unless otherwise agreed. Shower Installs Ltd can assist with tile selection if required.
  • Shower Installs Ltd is not responsible for variations in tile colour or pattern.

Warranty

  • Shower Installs Ltd warrants its workmanship for three (3) years from Service completion. This warranty covers defects in workmanship only and excludes misuse, damage caused by others, normal wear and tear, issues with client-supplied materials, and issues arising from incorrect preparation of the shower area by other tradespeople.
  • Any warranty claim must be made in writing within seven (7) days of the defect becoming apparent.


Liability:

  • To the extent permitted by the Consumer Guarantees Act 1993, Shower Installs Ltd's liability for any loss or damage arising from the Services is limited to the value of the Services provided.
  • Shower Installs Ltd is not liable for any consequential loss or damage.

Cancellation

  • The Client may cancel the Services by providing written notice to Shower Installs Ltd at least 24 hours prior to the scheduled start time.
  • Cancellation fees may apply, particularly if materials have been ordered.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms of Trade to the extent that such failure or delay is caused by a Force Majeure Event.


"Force Majeure Event" means any event beyond the reasonable control of the affected party, including but not limited to: * Acts of God, including earthquakes, floods, and storms; * War or terrorism; * Strikes or other labour disputes; * Governmental actions or regulations; * Pandemics or epidemics; * Significant supply chain disruptions. If a Force Majeure Event occurs, the affected party shall promptly notify the other party and shall use reasonable efforts to mitigate the effects of the Force Majeure Event.


Dispute Resolution (Clause13):

  • Where any dispute arises between the parties concerning this Agreement or the circumstances, representations, or conduct giving rise to the Agreement, no party may commence any court or arbitration proceedings relating to the dispute unless that party has complied with the procedures set out in this clause 13.
  • The party initiating the dispute (“the first party”) must provide written notice of the dispute to the other party (“the other party”) and nominate in that notice the first party’s representative for the negotiations. The other party must within seven (7) days of receipt of the notice give written notice to the first party, naming its representative for the negotiations. Each representative nominated shall have authority to settle or resolve the dispute.
  • If the parties are unable to resolve the dispute by discussion and negotiation within 14 days of receipt of the written notice from the first party, then the parties must immediately refer the dispute to mediation.
  • The mediation must be conducted in terms of the LEADR New Zealand Inc Standard Mediation Agreement. The mediation must be conducted by a mediator at a fee agreed by the parties. Failing agreement between the parties, the mediator shall be selected and his or her fee determined by the Chair for the time being of LEADR New Zealand Inc.

Governing Law

These Terms of Trade are governed by and construed in accordance with the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the courts of

New Zealand.

Consumer Guarantees Act

Where the Client is a consumer as defined in the Consumer Guarantees Act 1993, the Client has certain rights under that Act, including guarantees relating to

acceptable quality and fitness for a disclosed purpose. These terms do not exclude or limit those rights.
